California Gaming Network (CGN) - Master Development, Contributor & Non-Disclosure Agreement
This serves as the official Development Hub Policy, Contributor License Agreement (CLA), and Non-Disclosure Agreement (NDA) for all California Gaming Network (CGN) projects, repositories, and servers.

This Agreement is entered into between California Gaming Network (CGN) (“CGN”) and the undersigned individual or entity (“Contributor”).
1. Purpose & Scope
This Agreement governs all development, technical, creative, and operational contributions made for CGN and any servers, services, repositories, or platforms operated under CGN, including but not limited to CaliRP and any affiliated or successor projects.
This Agreement applies to all Contributors, including:
- Volunteer developers
- Paid developers or contractors
- System administrators and infrastructure engineers
- Designers, artists, and content creators
- Scripters, mappers, and asset providers
- Anyone submitting, modifying, deploying, or maintaining work for CGN
Access to CGN repositories, infrastructure, or servers constitutes full acceptance of this Agreement.
2. Definitions
Contribution
Any code, script, configuration, asset, model, texture, map, sound, UI element, documentation, design, workflow, data structure, integration, or material created for or provided to CGN.
CGN Property
Any Contribution or data that is submitted to, deployed on, integrated into, or used by CGN systems, servers, repositories, or infrastructure.
Confidential Information
All non-public information relating to CGN systems, users, infrastructure, security, data, development, or operations.
3. Intellectual Property Ownership (CLA)
3.1 Work-For-Hire & Assignment
All Contributions are deemed work-for-hire to the maximum extent permitted by law.
If a Contribution does not legally qualify as work-for-hire, the Contributor irrevocably assigns to CGN all right, title, and interest, including but not limited to:
- Copyright and intellectual property rights
- Source code and object code
- Derivative works
- Distribution, sublicensing, and commercialization rights
This assignment is exclusive, perpetual, worldwide, and irrevocable.
3.2 No Retained Rights
Once submitted or used by CGN:
- Contributions become exclusive CGN Property
- Contributor retains no ownership, control, or reversionary rights
- CGN may use Contributions with or without attribution
These rights survive indefinitely after termination or departure.
4. CGN Usage Rights
CGN retains the unrestricted right to:
- Use, copy, modify, refactor, or rewrite Contributions
- Combine Contributions with other works
- Distribute Contributions publicly or privately
- License or sublicense Contributions
- Continue using Contributions after Contributor departure
No additional permission is required at any time.
5. Confidentiality & Non-Disclosure (NDA)
Contributor acknowledges access to Confidential Information, including but not limited to:
- Source code and internal tooling
- Server architecture and infrastructure
- Credentials, keys, and access methods
- Security systems and anti-abuse tooling
- Development plans and internal documentation
Contributor agrees to:
- Keep all Confidential Information strictly confidential
- Use information solely for CGN purposes
- Not disclose Confidential Information to any third party
- Protect Confidential Information using reasonable safeguards
These obligations survive indefinitely, including after separation.
6. Data Protection, GDPR & Authorized Access
CGN systems process personal data, including but not limited to:
- Account identifiers and usernames
- IP addresses and connection logs
- Gameplay, moderation, and enforcement data
- Transaction and entitlement records
- Security and anti-abuse telemetry
Contributor agrees to act solely as an authorized data processor and to:
- Access personal data only for assigned duties
- Never copy, export, retain, or misuse personal data
- Never use data for personal, competitive, or retaliatory purposes
- Immediately report any suspected data breach
Unauthorized access or misuse may constitute violations of GDPR Articles 5, 6, and 32, as well as applicable U.S. laws.
7. Access Revocation & Post-Departure Obligations
Upon suspension, termination, or departure:
- All system and repository access is revoked immediately
- Contributor must not retain data, credentials, or access
- Any access attempts after revocation are unauthorized
Former Contributors are strictly prohibited from:
- Accessing CGN systems or repositories without authorization
- Modifying or interfering with CGN Property
- Using insider knowledge to disrupt operations
- Assisting others in interference or sabotage
8. Sabotage, Retaliation & Malicious Conduct (Zero-Tolerance)
CGN enforces a zero-tolerance policy for sabotage or retaliation, including but not limited to:
- Deleting, corrupting, or altering databases
- Disabling services, servers, or infrastructure
- Introducing malicious code, kill-switches, or logic bombs
- Deploying time-based or conditional failures
- Withholding credentials, keys, or documentation
- Intentionally disrupting services during or after departure
Severity & Enforcement
Such actions constitute:
- Gross misconduct
- Willful damage to digital property
- Unauthorized access under state and federal law
- Potential GDPR and CCPA violations
CGN may pursue all available remedies, including:
- Immediate termination
- Permanent access bans
- Civil litigation for damages
- Injunctive relief
- Referral to law enforcement
These obligations apply during involvement and indefinitely afterward.
9. Third-Party & Open-Source Components
If Contributions include third-party or open-source components:
- All licenses must be fully disclosed in writing
- Licenses must be compatible with CGN ownership and usage rights
- CGN may reject, replace, or remove non-compliant components
Failure to disclose licensing restrictions constitutes a material breach.
10. No Compensation Implied
Unless explicitly stated in a separate written agreement:
- Contributions are voluntary
- No royalties or profit-sharing apply
- No employment, partnership, or agency relationship is created
11. Audit, Monitoring & Evidence Preservation
CGN reserves the right to:
- Monitor system and repository activity
- Retain logs for security, fraud prevention, and compliance
- Preserve evidence in the event of disputes or investigations
These measures comply with GDPR security and integrity exemptions.
12. Governing Law
This Agreement is governed by and interpreted under the laws of the State of California, without regard to conflict-of-law principles.
13. Entire Agreement
This document constitutes the entire agreement between the parties regarding Contributions, confidentiality, data access, and intellectual property, and supersedes all prior agreements or understandings.
14. Acceptance
By submitting a Contribution, opening a merge request, or accessing CGN repositories or infrastructure, you acknowledge that you have read, understood, and agreed to this Agreement in full.
If you do not agree, do not access or contribute to CGN systems.
